1. Contractor shall keep secret any data obtained from Company, its clients and employees (source code, software, technical and user documentation, business-plans, design versions, information on clients and employees, etc.) and shall not use this data in his/her own interests both while working for Company and after termination of his/her work.

2. Contractor shall keep secret and shall not use in his/her own interests any materials (source code, software, technical and user documentation, business-plans, design versions, etc.) produced by him/her personally or together with other Company’s employees while working for Company and after termination of his/her work

3. Contractor shall not disclose neither the fact that he/she works for Company, nor any auxiliary details (position, salary, type of work, etc.) without written authorization of Company Management both while working for Company and after termination of his/her work.

4. Contractor shall not use in his/her own personal interests the contact information on Company employees and clients obtained as a result of his/her work for Company both while working for Company and after termination of his/her work. Contractor shall not work with Company’s clients for 5 years after termination of his work for Company.

5. All rights to materials produced by Contractor himself/herself or together with other employees of Company during his/her work for Company shall belong to Company with no statute of limitation defined.

6. Contractor shall perform work duties required by Company. The kind of work and work duration, as well as amount and rules of payment, will be discussed by Company and Contractor before the start of work.

7. During his/her work for Company Contractor shall obey all Company’s Work Rules. Contractor will be informed of Company’s Work Rules before the start of his/her work for the Company. In case of violations of Company’s Work Rules, Company Management shall be entitled to fine the Contractor or (in extreme cases) to dismiss the Contractor.

8. This Agreement shall come into force on the date executed, and shall not be limited by any time duration.

9. The disputes concerning relationships between Company and Contractor shall be settled in courts according to legislation of United Kingdom.

Contractor: I agree to the above and I will follow all terms of this Agreement.
